Introduction
These Terms of Use ("Terms") govern your use of the Ba5era Platform, accessible via the website. By using the Platform, you agree to comply with these Terms in full. If you do not agree with any part of these Terms, please stop using the Platform immediately.
1. Definitions
- Platform: The Ba5era electronic platform for managing yacht party bookings and events.
- User: Any person or entity registered on or using the Platform.
- Vessel Owner: A user who owns or manages a yacht registered on the Platform.
- Booking Office: A licensed commercial entity that sells party tickets on behalf of vessel owners.
- Organization (Tenant): An organizational account containing vessels, booking offices, and team members.
- Party: An event or occasion published on the Platform available for ticket booking.
- Ticket: A permit issued by the Platform allowing its holder to attend a specific party.
- Customer: A person who books a ticket or table to attend a party.
2. Registration and User Accounts
2.1 Registration Requirements
You must be at least 18 years old to create an account on the Platform. You must provide accurate, complete, and truthful information when registering. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately in the event of unauthorized use of your account.
2.2 Account Types and Subscriptions
The Platform offers three subscription plans: Starter plan (free with limits on bookings and vessels), Professional plan (monthly paid subscription with higher capacities), and Enterprise plan (monthly paid subscription with unlimited capacities). Platform administrators reserve the right to modify plans and pricing at any time with prior notice. A 14-day trial period is granted to new accounts.
2.3 Account Suspension and Termination
We reserve the right to suspend or terminate any user's account in case of violation of these Terms, unlawful use of the Platform, non-payment of due subscription fees, or providing misleading information during registration. In case of suspension or termination, you will retain the right to access your financial data for a period not exceeding legal requirements.
3. User Responsibilities
3.1 Vessel Owners
Vessel owners bear full responsibility for: accuracy of information provided about the yacht (specifications, capacity, port), compliance with local regulations governing yacht operations and event organization, ensuring the safety of passengers and crew during parties, obtaining necessary licenses and permits, and providing accurate descriptions of parties and services offered.
3.2 Booking Offices
Booking offices commit to: providing accurate information about the office and its licenses, adhering to the commission rates agreed upon with vessel owners, not reselling tickets at prices exceeding the set price without authorization, and maintaining the confidentiality of customer data.
3.3 General Rules
All users are prohibited from: using the Platform for any illegal or unauthorized purposes, attempting unauthorized access to other accounts or data, sending harmful, annoying, or offensive content, manipulating ticket prices or booking systems, copying or republishing Platform content without permission, and using automated tools (bots) to access the Platform excessively.
4. Bookings and Tickets
4.1 Booking Process
Booking is subject to ticket and table availability at the specified time. Completing a booking does not guarantee entry if the maximum capacity has been exceeded. Sold tickets are final and can only be refunded in accordance with the cancellation policy set by the party organizer.
4.2 Pricing and Payments
Prices are displayed in Egyptian Pounds as the base currency with the option to show values in other currencies for indicative purposes only. Final prices are those displayed in Egyptian Pounds. The Platform accepts the following payment methods: cash, digital transfer (Vodafone Cash, InstaPay, Fawry), and bank card. Digital transfers must be verified with a transaction reference number.
4.3 Cancellation and Refunds
Booking cancellations and refunds are subject to each party organizer's individual policy. The Platform is not a party to refund disputes between customers and party organizers. The Platform may assist in resolving disputes based on available records in the system.
4.4 Digital Tickets and QR Scanning
Tickets are issued digitally with a unique QR code. The ticket must be presented at the party entrance for scanning. Each ticket is valid for a single use only. Attempting to forge or reuse a ticket is a violation and may result in removal from the party and legal liability.
5. Content and Intellectual Property
5.1 Platform Ownership
All intellectual property rights related to the Platform (including design, logos, source code, and domain names) are owned by or licensed to Ba5era Platform. You are not granted any ownership rights or licenses to use any element of the Platform.
5.2 User Content
You retain ownership of the content you create on the Platform (yacht descriptions, party details, posts). By creating content, you grant the Platform a non-exclusive, worldwide license to use, display, and distribute this content for the purposes of operating and marketing the Platform.
5.3 Posts and Social Feed
Content posted on the social feed is subject to the following community guidelines: content must be appropriate for a general audience, posting offensive, violent, or discriminatory content is prohibited, advertising competing services is prohibited, and Platform administrators reserve the right to remove any violating content.
6. Fees and Commissions
6.1 Subscription Fees
Monthly or annual subscription fees apply according to the selected plan. Paid plans require regular payment. Delayed payment may result in restricted access to certain features or account suspension.
6.2 Booking Office Commissions
Booking office commissions are calculated automatically with each booking based on the rate set for each office. Commissions are deducted from the vessel owner's revenue or added as additional charges to the customer based on the agreement between the parties.
7. Limitations and Liabilities
7.1 Limitation of Liability
The Platform is provided "as is" and "as available" without any express or implied warranties. We do not guarantee uninterrupted service or error-free operation. The Platform is not responsible for: damages resulting from events beyond our control, the quality of services provided on yachts or during parties, disputes between vessel owners, booking offices, and customers, and any indirect or incidental financial losses.
7.2 Indemnification
You agree to indemnify the Platform, its administrators, and employees from any claims, damages, or losses arising from your use of the Platform or your violation of these Terms.
8. Termination
You may terminate your use of the Platform at any time by canceling your subscription through the dashboard or contacting technical support. We reserve the right to terminate or suspend your access to the Platform at any time with prior notice for paid subscriptions, or immediately in cases of severe violation.
9. Dispute Resolution
In the event of any dispute related to these Terms or the use of the Platform, amicable resolution is preferred first by contacting the technical support team. If a resolution cannot be reached, the dispute shall be referred to the competent courts in the Arab Republic of Egypt, and these Terms shall be governed by its laws.
10. General Provisions
10.1 Amendments to Terms
We reserve the right to amend these Terms at any time. Users will be notified of material changes via email or an in-Platform notification. Continued use of the Platform after amendments are posted constitutes acceptance of them.
10.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10.3 Waiver
Our failure to exercise any right provided in these Terms does not constitute a waiver of that right.
10.4 Entire Agreement
These Terms and the Privacy Policy constitute the entire agreement between you and the Platform regarding the use of the Platform.
